General terms and conditions (AGB)

1. General provisions

  • 1.1 Scope: These general terms and conditions (“GTC”) govern the contractual relationship between Kniroo UG (haftungsbeschränkt) (“Kniroo”), Eck zum Vaulschink 3, 93047 Regensburg, registered in the commercial register under HRB 21195, and its customers (“customer”) for the provision of consulting services.
  • 1.2 Conclusion of contract: A contract between Kniroo and the customer is concluded upon written confirmation of the customer's order by Kniroo or when Kniroo commences the provision of services.
  • 1.3 Applicability: These terms and conditions apply exclusively. Divergent or conflicting terms and conditions of the customer only apply if they are expressly accepted in writing by Kniroo.

2. Services

  • 2.1 Scope of services: The specific scope of Kniroo's services is defined in the respective individual contract with the customer.
  • 2.2 Implementation: Kniroo will provide the services with the care of an ordinary businessman. Kniroo is entitled to engage subcontractors to provide the services.
  • 2.3 Customer involvement: The customer will provide Kniroo with all information and documents required to provide the services and will provide Kniroo with the best possible support in carrying out the services.

3. Compensation

  • 3.1 Fee: The fee for the services is based on the respective individual contract with the customer. Unless otherwise agreed, the fee is to be paid monthly in advance.
  • 3.2 Expenses: Appropriate and necessary expenses that Kniroo incur in connection with the provision of the services will be reimbursed by the customer upon proof.

4. Duration and termination

  • 4.1 Minimum term: The contract has a minimum term of three (3) months.
  • 4.2 Automatic renewal: The contract is automatically extended by a further three (3) months unless terminated in writing by one of the parties with a notice period of three (3) weeks before the end of the respective term.
  • 4.3 Termination for good cause: The right to cancel the contract for good cause remains unaffected. An important reason exists in particular if the other party materially breaches the contract and fails to remedy this breach within a reasonable period of time despite a written warning.

5. Confidentiality

  • 5.1 Confidentiality obligation: Both parties agree to keep all information they receive from the other party in connection with this contract confidential and not to disclose it to third parties.
  • 5.2 Exceptions: The confidentiality obligation does not apply to information that is publicly known or becomes publicly known through no fault of the receiving party.

6. Liability

  • 6.1 Liability limitation: Kniroo is only liable for damage caused by Kniroo or its vicarious agents in the event of intent or gross negligence.
  • 6.2 Disclaimer: Kniroo is not liable for indirect damage, sequential damage or loss of profit, unless caused intentionally or through gross negligence.
  • 6.3 Disclaimer for success: Kniroo does not guarantee the achievement of specific economic results or successes.

7. Miscellaneous

  • 7.1 Amendments: Amendments or additions to these terms and conditions must be made in writing.
  • 7.2 Applicable Law: This contract is subject to the laws of the Federal Republic of Germany.
  • 7.3 Jurisdiction: The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Regensburg.
  • 7.4 Salvatory clause: Should any provision of these terms and conditions be invalid or unenforceable, this provision will be deleted and the remaining provisions will remain in full force and effect.

We start with a 2-3 week analysis phase, followed by the design of your individual roadmap. We then support you during the step-by-step implementation with regular performance checks and adjustments.

How much time will the collaboration take me?

The time required is limited to a 4-6 hour kick-off meeting, weekly 1-hour status meetings and 2-4 hours a week during the implementation phase. We are continuously optimizing the process to minimize your time expenditure.
